YOU MUST READ THIS REFERRAL PROGRAM TERMS DOCUMENT CAREFULLY ("PROGRAM" OR "REFERRAL PROGRAM" OR "TERMS OF USE" OR "TERMS OF SERVICE" OR "TERMS AND CONDITIONS") BEFORE USING THE REFERRAL PROGRAM THROUGH TIPPINGCIRCLE OFFERED BY PrimeOrigins, LLC ("COMPANY" OR "PrimeOrigins").

Eligibility
To qualify for participation in the Program (including without limitation receipt of Referral Commissions (as defined below)), You must: (i) be an individual who is at least eighteen (18) years old; (ii) have a TippingCircle account; and (iii) be able to receive payments via PayPal.

Registration
Your TippingCircle account has a unique numeric ID to track your referrals. Your Referral Link is provided to you in your online account that you are permitted to share with anyone. PrimeOrigins does hold the right to request the removal of links if they misrepresent the referral program or for any other reason. You are provided with social links, HTML code, and examples to use in linking to our website but you are not limited to only use those means of placing your Referral Link.

Referral Commissions
Each time someone you have referred activates their account, you will earn reward points at the current reward amount at the time of activation. PrimeOrigins has the right to change the reward amount at any time.

Representations and Warranties
You hereby represent and warrant that: (i) You will comply applicable laws or regulations (including without limitation copyright laws and anti-spam laws) in connection with your participation in the Program and you will not use your account or the Program for any illegal or unauthorized purpose; (ii) You will not misrepresent your relationship with PrimeOrigins to any third party and you will not make any warranty or representation on behalf of PrimeOrigins; and (iii) Your participation in the Program does not and will not violate any agreement between you and any third party. You agree that PrimeOrigins will have no liability for your breach of the foregoing and you will indemnify and hold PrimeOrigins harmless from any damages resulting therefrom. EXCEPT FOR THE FOREGOING, NEITHER PARTY MAKES ANY WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PROGRAM, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF FITNESS, MERCHANTABILITY OR NONINFRINGEMENT.

Limitation on Liability
NEITHER PARTY NOR THEIR AFFILIATES SHALL BE LIABLE OR OBLIGATED UNDER ANY SECTION OF THIS AGREEMENT OR UNDER CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES.

Modifications to the Terms
PrimeOrigins reserves the right, at its sole discretion, to modify or replace any of these Terms and Conditions, or change, suspend, or discontinue the Referral Program (including without limitation the payment of Referral Fees) at any time by posting a notice on its website or by sending you an email. PrimeOrigins may also impose limits on your participation in the Program without notice or liability. It is your responsibility to check these Terms and Conditions periodically for changes. Your continued use of the Service following the posting of any changes to the Terms of Service constitutes acceptance of those changes.

Miscellaneous
For all purposes of this Agreement each party shall be and act as an independent individual or entity and not as partner, joint venturer, or agent of the other and shall not bind, nor attempt to bind, the other to any contract. You will not have any right or ability to assign, transfer, or sublicense any obligations or benefit under this Agreement without the written consent of PrimeOrigins (and any such attempt shall be void). PrimeOrigins may assign and transfer this Agreement and its rights and obligations hereunder freely without consent. The parties agree that if any portion of this Agreement is illegal or unenforceable, such portion(s) shall be limited or excluded from this Agreement to the minimum extent required and the balance of this Agreement shall remain in full force and effect and enforceable. Except as expressly set forth herein, this Agreement contains the entire understanding of the parties regarding its subject matter and can only be modified or waived by a subsequent written agreement signed by both parties.
